GatewaySentry provides cybersecurity-related products, tools, platforms, and information services. The specific nature, features, and scope of the Services may change from time to time at our sole discretion, without prior notice to you. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you create an account with GatewaySentry, you are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to immediately notify GatewaySentry of any unauthorized use of your account or any other breach of security.
You are solely and entirely responsible for your use of the Services and for any content, data, information, or materials you transmit, upload, submit, or make available through the Services. You agree that GatewaySentry bears no responsibility or liability for your actions, conduct, or the actions and conduct of any third party using the Services.
You agree not to use the Services for any unlawful, malicious, abusive, or otherwise prohibited purpose. Without limiting the foregoing, you shall not:
Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and access to the Services, without prior notice or liability.
If you become aware of any abuse, misuse, or violation of these Terms by any User, you may report such activity by contacting us at abuse@gatewaysentry.com. GatewaySentry will review all abuse reports at its sole discretion and may take any action it deems appropriate, including but not limited to suspending or terminating the offending User’s account.
GatewaySentry is under no obligation to investigate or act upon any abuse report, and the decision to take or refrain from taking any action shall be at our sole and absolute discretion.
GATEWAYSENTRY RESERVES THE RIGHT TO SUSPEND, RESTRICT, OR TERMINATE YOUR ACCESS TO THE SERVICES, IN WHOLE OR IN PART, AT ANY TIME, FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE, AND WITHOUT ANY LIABILITY TO YOU WHATSOEVER.
Without limiting the generality of the foregoing, GatewaySentry may suspend or terminate your account if we reasonably believe that: (a) you have violated these Terms or any applicable law; (b) your use of the Services poses a security risk to GatewaySentry or any third party; (c) your use of the Services may subject GatewaySentry to liability; (d) your account has been flagged for suspicious or fraudulent activity; or (e) for any other reason we deem necessary in our sole discretion.
Upon suspension or termination, your right to use the Services will immediately cease. GatewaySentry shall not be liable to you or any third party for any suspension or termination of your access to the Services. You acknowledge and agree that GatewaySentry has no obligation to retain, store, or provide you with any data, content, or information associated with your account following termination.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GATEWAYSENTRY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND COMPLETENESS.
GATEWAYSENTRY DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.
GATEWAYSENTRY DOES NOT GUARANTEE THE EFFECTIVENESS OF ANY CYBERSECURITY TOOLS, PRODUCTS, OR SERVICES IN PREVENTING, DETECTING, OR MITIGATING SECURITY THREATS, BREACHES, OR VULNERABILITIES. YOUR USE OF THE SERVICES AND ANY RELIANCE ON THE RESULTS THEREOF IS SOLELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GATEWAYSENTRY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, OR SUPPLIERS (COLLECTIVELY, THE “GATEWAYSENTRY PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF GATEWAYSENTRY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE GATEWAYSENTRY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GATEWAYSENTRY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, GatewaySentry’s liability shall be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless the GatewaySentry Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property, privacy, or proprietary rights; (e) any content or data you transmit through the Services; or (f) any negligent, reckless, or willful misconduct by you.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
GATEWAYSENTRY IS NOT RESPONSIBLE FOR THE ACTIONS, CONDUCT, OR CONTENT OF ANY USER OF THE SERVICES. YOU ACKNOWLEDGE AND AGREE THAT GATEWAYSENTRY DOES NOT MONITOR, CONTROL, OR ENDORSE THE ACTIVITIES OF ITS USERS AND SHALL BEAR NO LIABILITY WHATSOEVER FOR ANY USER’S MISUSE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY ILLEGAL, HARMFUL, THREATENING, ABUSIVE, DEFAMATORY, OR OTHERWISE OBJECTIONABLE CONDUCT.
You assume all risks associated with your interactions with other Users and third parties. GatewaySentry shall not be a party to any disputes between Users or between a User and any third party. Under no circumstances shall GatewaySentry be held liable for any loss, damage, or harm resulting from your reliance on information or content provided by any User or third party through the Services.
All content, software, technology, designs, trademarks, logos, and other intellectual property associated with the Services are and shall remain the exclusive property of GatewaySentry or its licensors. Nothing in these Terms grants you any right, title, or interest in or to any intellectual property owned or licensed by GatewaySentry, except for the limited right to use the Services in accordance with these Terms.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, or create derivative works based on the Services or any part thereof without our prior written consent.
The Services may contain links to third-party websites, services, or resources. GatewaySentry does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your access to and use of third-party websites or services is at your own risk.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
GatewaySentry reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. Changes will be effective immediately upon posting the revised Terms on our website or through the Services. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any updates.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction of such courts.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in the State of Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
GatewaySentry shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, government actions, power failures, internet disruptions, cyberattacks, or any other force majeure event.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.
The failure of GatewaySentry to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of GatewaySentry.
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and GatewaySentry with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and GatewaySentry regarding the Services.
